3. Client Responsibilities
You agree to:

Provide timely access to materials, systems, and personnel needed for project delivery.

Ensure any content, data, or files provided do not infringe third-party rights.

Respond to requests for approvals or feedback in a timely manner.
Failure to meet these obligations may result in project delays and additional charges.
4. Project Delivery & Scope
All work is scoped prior to commencement. The following applies:

A detailed proposal or brief will define deliverables, timelines, and costs.

Minor revisions are included unless otherwise stated.

Additional features or changes beyond the original scope may incur extra charges and extend delivery timelines.

We are not responsible for delays caused by third-party providers or incomplete client input.
5. Payment Terms
5.1 Payment Types
We offer:

One-off payments for fixed projects

Tranche (stage) payments, typically 30% upfront, 40% mid-point, 30% on completion

Subscription-based payments (monthly or annually) for services such as:

Hosting

Support
-
Maintenance
-
Email and CRM services

5.2 Due Dates
Invoices are due within 14 or 30 days (as stated). Late payment may result in:

£25 admin fee

Suspension of services
-
Interest at 3% above Lloyds Bank base rate, calculated daily
5.3 Subscriptions

Subscription services auto-renew unless cancelled in writing at least 14 days before renewal.

Failure to pay a renewal invoice may result in suspension or termination.
5.4 Refunds

Once work begins or a subscription starts, payments are non-refundable.

We may offer a pro-rata refund at our discretion if a service is cancelled early.
6. Hosting & Support
Hosting services include:

99.9% uptime target (not guaranteed)
-
Daily or weekly backups (depending on package)
-
Security monitoring and basic support
We are not responsible for:

Downtime caused by external attacks, third-party failure, or client actions
-
Loss of data due to client mismanagement or late renewals
If you choose to move hosting away, we will provide necessary files and database exports upon request, assuming your account is in good standing.
7. Email & CRM Services
We use trusted third-party platforms for:

Business email hosting

Email migration
-
CRM setup and integration
Client is responsible for:

Compliance with third-party licence terms
-
Management of end-user access
-
Ensuring migrated data is accurate and secure
We accept no liability for:

Data loss during migration

Service outages due to third-party changes
8. SEO & Email Marketing
We provide SEO and marketing services on a best-effort basis, guided by industry standards.
We do not guarantee:

First-page Google rankings
-
Click or sales volume
-
Email open or response rates
You are responsible for:

Consent and GDPR compliance for any contact lists
-
Content approval prior to sending marketing communications
9. Third-Party Tools & Integrations
We may integrate with platforms like:

Mailchimp, Stripe, PayPal, Google, Facebook, Xero, etc.
We are not responsible for:

Downtime or changes to third-party systems
-
API failures, data loss, or functional limitations
Ongoing compatibility is not guaranteed unless under a paid support contract.
10. Intellectual Property

You own the final website content, branding, and assets upon full payment.

We retain ownership of frameworks, plugins, and development tools unless explicitly assigned in writing.

All third-party assets (stock photos, fonts, plugins) are subject to their respective licences.
We reserve the right to showcase completed work in our portfolio unless you request otherwise in writing.
11. Confidentiality & Data Protection
We agree to treat all client data and project details as confidential. We comply with:

12. Service Suspension or Termination
We reserve the right to suspend or terminate services if:

Payments are overdue by more than 14 days

We also reserve the right to withdraw services where continued use presents legal, reputational, or technical risks.
13. Limitation of Liability
To the fullest extent permitted by law:

We are not liable for indirect, incidental, or consequential loss, including loss of business, profits, or data.

Our liability for any claim is limited to the total fees paid for the specific service.
